Terms of Service

1. Agreement to Terms

By accessing or using MicroDC.ai ("Service", "Platform", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

MicroDC.ai is a distributed computing platform that connects clients requiring AI inference services with compute providers (workers). These Terms apply to all users of the Service, including clients and workers.

2. Account Registration and Security

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access or security breach

You may not share your account credentials, transfer your account to another person, or use another user's account without permission.

3. Service Description

MicroDC.ai provides a platform for distributed AI inference:

  • For Clients: Submit AI inference jobs (LLM, embeddings, image generation) and receive results
  • For Workers: Register computing resources, accept jobs, and earn credits for completed work

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

4. Credits, Billing, and Payments

4.1 Credits System

The Platform uses a credit-based system. Credits are required to submit jobs and are earned by completing jobs as a worker.

4.2 Purchasing Credits

  • Credits are non-refundable once purchased
  • Prices are subject to change with notice
  • All sales are final unless otherwise required by law

4.3 Earning Credits

Workers earn credits by successfully completing jobs. Payment calculations are based on job complexity, model used, and execution time.

4.4 Credit Expiration

Purchased credits do not expire. Promotional or bonus credits may have expiration dates as specified at the time of issuance.

5. Acceptable Use Policy

You agree NOT to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe upon intellectual property rights of others
  • Generate, store, or distribute malicious code or malware
  • Harass, abuse, or harm others
  • Generate illegal content or content promoting violence
  • Reverse engineer, decompile, or attempt to extract source code
  • Use automated systems to access the Service except through our API
  • Overload or interfere with the Platform's infrastructure
  • Submit jobs with malicious intent or harmful payloads
  • Misrepresent hardware capabilities as a worker

Violation of this policy may result in immediate account suspension or termination.

6. Data and Privacy

6.1 Job Data

Job inputs and outputs are temporarily stored for processing and delivery. We do not claim ownership of your data and will not use it for training or other purposes without your consent.

6.2 Data Retention

Job data is automatically deleted after completion according to our retention policy. You are responsible for downloading and storing results you wish to keep.

6.3 Worker Data Access

Workers processing jobs have temporary access to job data. Workers agree to maintain confidentiality and not store, copy, or misuse job data.

7. Intellectual Property

The Service, including its source code, design, functionality, and content (excluding user data), is owned by MicroDC.ai and protected by copyright, trademark, and other intellectual property laws.

You retain all rights to content you submit. By using the Service, you grant us a limited license to process, transmit, and display your content solely for providing the Service.

8. Disclaimers and Limitations

8.1 Service Availability

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind. We do not guarantee:

  • Uninterrupted or error-free operation
  • Specific job completion times
  • Accuracy or quality of results
  • Availability of specific models or workers

8.2 AI-Generated Content

AI models may produce inaccurate, biased, or inappropriate content. You are responsible for reviewing and validating all outputs before use.

8.3 Third-Party Models

We may provide access to third-party AI models. Use of such models may be subject to additional terms and licenses.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MICRODC.AI SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, data, or business opportunities
  • Damages resulting from use or inability to use the Service
  • Content or actions of third-party workers or clients

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

10. Termination

We may suspend or terminate your account immediately if you:

  • Violate these Terms
  • Engage in fraudulent activity
  • Misuse the Service
  • Fail to pay amounts owed

You may terminate your account at any time through your account settings. Upon termination, your right to use the Service ceases immediately.

11. Indemnification

You agree to indemnify and hold harmless MicroDC.ai from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any rights of others.

12. Dispute Resolution

Any disputes arising from these Terms or use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

You waive any right to participate in class action lawsuits or class-wide arbitration.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or Service notification. Continued use of the Service after changes constitutes acceptance of the modified Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and MicroDC.ai regarding use of the Service.
